Buy a Dental Practice in Georgia

To buy a dental practice in Georgia, test collectible earnings against the services, people and payer arrangements you can sustain. Verify the proposed clinical structure and premises rights, then connect the funding plan to the actual cost of opening. A higher dental fee schedule or a larger metro can inform the review, but the practice records must support the purchase.

Key takeaways

  • Apply rate changes only to the services and receipts they actually affect.
  • Review current Medicaid categories, limits and approval requirements.
  • Compare complete metro areas with dated figures and stated uncertainty.
  • Resolve clinical, premises and funding conditions before closing.

How should you test the earnings of a Georgia dental practice?

Start with the money the practice can collect for the care you can deliver. A busy appointment book, a higher fee schedule and a growing metro are useful leads. Each still needs a link to the practice's records. Ask for monthly collections by payer, the procedures behind them, denied claims and the clinical hours that produced the work.

Separate changes in price, service volume and collection timing. A payment received this month may relate to an older visit. A higher total can also reflect an extra dentist, more days open or a release of delayed claims. These changes have different costs and may not continue after the seller leaves.

Use a common period for the financial records, bank deposits and practice reports. List refunds and adjustments as well as receipts. Then ask which earnings depend on the seller's clinical work, payer status or relationships. The due diligence checklist provides a broader document plan. The Georgia-specific task is to connect those records to the rules and operating facts below.

Does Georgia's dental fee increase raise every practice's revenue?

No. The approved rate amendment 25-0005 increases the rates for listed dental codes by 2.5% for dates of service beginning July 1, 2025. Some entries have Health Check or pregnancy limits. The same document limits payment to the lower of the dentist's actual charge and the statewide rate in effect on the service date. It does not increase every commercial fee, cash payment or practice's collections.

Consider an invented annual example. A practice collected $1,000,000 before a rate change. Assume $200,000 came from eligible services paid at the old schedule limit. Hold procedure volume, patient mix and collection success constant. Also assume actual charges are high enough to permit the full increase and all other receipts stay unchanged.

Illustrative calculationAmount
Eligible receipts used as the base$200,000
Increase applied to that base2.5%
Potential added annual receipts$5,000
Total receipts after that change$1,005,000
Increase across the whole practice0.5%

The model gives $200,000 × 2.5% = $5,000, then $5,000 ÷ $1,000,000 = 0.5%. It is a teaching example, not a forecast or reported Georgia benchmark. Staffing, materials, denials and other costs still affect earnings. Check whether the latest financial period already includes the change before adding any further adjustment.

The actual-charge limit can also matter. In a separate invented procedure example, an old schedule limit of $100 rises to $102.50. If the practice's actual charge remains $98, the lower-of rule still limits the amount to $98 under both schedules. This simplified comparison assumes an otherwise payable claim; it does not recommend a billing charge or quote an actual dental code.

What does the current adult Medicaid benefit mean for a buyer?

The approved adult dental amendment 24-0005 expanded covered medically necessary services effective July 1, 2024. An older emergency-only description is not a sound basis for reviewing the present business. Expansion still does not make every requested treatment payable.

Read the July 1, 2026 Dental Services manual with the applicable payer's instructions. It sets out patient categories, service limits and approval steps. Appendix B expressly sends readers to other chapters for service and prior/post approval requirements. The fee table alone cannot answer a claim question.

For an acquisition, build a payer worksheet with the enrolled entity, clinician, location, contract, patient category and effective dates. Ask who will confirm each field and what evidence will close the question. Review a sample of paid and denied claims using lawful access. Do not use the seller's payment history as proof that the incoming owner may bill on the same basis.

Keep cash available for a slower collection start. Plan this reserve from payroll, occupancy and other actual obligations. Neither a state benefit expansion nor a submitted enrollment request pays the first payroll. Discuss the reserve and any timing conditions with the lender before committing to a closing date.

Which Georgia markets fit your proposed clinical work?

Whole-metro figures help compare scale, but the relevant patients may live within a much smaller area. These are five complete metro areas, including the South Carolina part of Augusta and the Alabama part of Columbus. They are not city populations or Georgia-only totals.

Whole metroJuly 2025 residents2024 household income90% margin
Atlanta-Sandy Springs-Roswell, GA6,482,182$92,344±$963
Augusta-Richmond County, GA-SC641,231$72,176±$2,631
Savannah, GA438,314$80,518±$3,106
Columbus, GA-AL324,830$60,100±$4,158
Macon-Bibb County, GA238,553$56,638±$6,207

Population is the Census July 2025 estimate. Income is 2024 ACS one-year household income, in 2024 dollars, with a 90% margin of error. The Macon and Columbus intervals are relatively wide. Do not treat their point estimates as precise patient spending limits, or average county medians to recreate these metro figures.

Atlanta offers a much larger geographic search area, so narrow the search by commute, clinical fit and premises needs. For Augusta and Columbus, identify the state where care will occur and where each clinician must be authorized. Savannah's coastal location and Macon's smaller metro scale call for address-level checks of travel, patient origins and staffing. These are planning questions, not rankings of acquisition quality.

The 2023 Census employer-office count is 3,663 for Georgia. That measures employer dental establishments, not dentists or practices for sale. In the HRSA AHRF 2024–2025 release, Georgia's 159 counties contain 5,230 professionally active dentists against a matched 2023 population of 11,029,227. That gives 47.42 per 100,000 residents. The category includes roles beyond office clinical care. It does not measure vacant jobs or chair time available to a buyer.

Can the current team support your opening plan?

Compare the actual staffing roster with the schedule you want to operate. Ask about hours, duties, planned departures, benefits and the coverage needed when someone is absent. Speak with staff at an agreed stage of the confidential process. A budget that assumes every employee will stay needs evidence and a fallback plan.

Georgia employee occupationMay 2025 hourly median25th–75th percentile
Dental hygienists$45.91$39.01–$48.86
Dental assistants$22.52$19.36–$23.54

These BLS employee wage estimates provide dated context. The percentile band describes observed wages; it is not a hiring quote, a confidence interval or the full cost of employment. Add employer taxes, benefits, paid leave and coverage costs to the actual staffing plan.

Augusta University's Dental College of Georgia provides dental education. Its May 2026 Savannah announcement describes a campus planned to open in summer 2028. Future educational capacity is not a current pool of graduates committed to your office. Base the opening schedule on people and agreements you can verify now.

What must the ownership and premises review resolve?

Have Georgia dental counsel review the proposed owner, entity and management contracts before they become closing commitments. The state's business structure guide is a starting point for formation questions. Use the Board's laws and rules route for the separate professional review. A filed company record does not answer who may deliver care or control clinical decisions.

The dental rules prohibit delegating licensed duties to unqualified people and address referral-source fee splitting. Review actual duties and payments, including any management arrangement. A buyer label such as DSO or independent dentist cannot settle every legal question.

For leased premises, examine assignment, consent, remaining term, options, permitted use and repair duties. Georgia business brokerage Rule 520-1-.12 reaches business sales involving a real-property interest, including a leasehold, subject to the stated exemptions. Resolve the proper licensed representation at the outset. The rule does not permit prohibited earlier work to be cured by later licensed approval.

Also ask the tax adviser to classify the sold assets. The casual-sale rule has conditions for business property, liquidation timing and sales through certain agents or brokers. An occasional sale is not enough by itself to settle the result. The purchase allocation and retained assets should support the tax analysis, rather than follow a blanket assumption that dental equipment is exempt.

What should be ready before you authorize closing?

Keep a short list of decisions that can change price, funding or the ability to open. For each, name the responsible adviser, the supporting document and the consequence if it remains unresolved. Separate an estimate from a binding commitment and an application from an approval.

Confirm access to complete treatment records, images and needed historical billing files. Agree on custody, patient requests and lawful seller access before a software account is removed. Assign responsibility for ongoing treatment and emergency arrangements, with clinical decisions made by the proper professionals.

Review seller restrictions separately from a post-sale employment agreement. In the 2024 Wimmer decision, the Georgia Supreme Court rejected an automatic express-geographic-term requirement in an employee nonrecruitment dispute. It sent the reasonableness issue back for review. That result does not validate any proposed dental sale restriction. Counsel should assess the actual clause and relationship.

Finish by reconciling the price, all closing costs and the cash retained for operations with committed funds. If the payer, staffing or premises plan changes, revise that calculation. The right decision may be to change the terms or timing. A signed offer should lead to a practice you can operate with a supported plan.

Review the Atlanta premises and opening plan

The Atlanta buyer guide connects the city's no-work occupancy process to the proposed dental operation, with whole-city comparisons and dated rent and staffing evidence.

Frequently asked questions

Does a 2.5% dental rate increase mean 2.5% more practice revenue?

No. The increase applies to listed codes with specified limits. Its practicewide effect depends on eligible services, payment rules, actual charges and volume. Check whether the current financial period already includes the change before adding an adjustment.

Does the adult Medicaid expansion make every treatment payable?

No. Review patient eligibility, service coverage, medical necessity, approval steps and the applicable payer rules. The current manual directs readers beyond the fee table for limits. A maximum amount is not a payment guarantee.

Are Augusta and Columbus metro figures Georgia-only?

No. The whole Augusta metro includes South Carolina counties, and the whole Columbus metro includes an Alabama county. The published comparisons retain those areas. They are not city totals or counts of Georgia residents alone.

Will a future dental campus solve an immediate staffing gap?

It should not be the basis for that assumption. The reviewed university announcement describes Savannah capacity planned for summer 2028. Build an opening schedule around verified people, roles and agreements available for your transition.

Does the casual-sale rule automatically exempt purchased dental equipment?

No. Review the assets, seller activities, liquidation conditions, timing and applicable exclusions with a Georgia tax adviser. The fact that an owner sells infrequently does not establish the result for a practice acquisition.

What should I bring to an initial acquisition discussion?

Bring your clinical goals, target area, funding stage and any available practice financial summary. Identify questions about payer continuity, staffing and premises. Use the calendar embedded on the contact page to arrange the discussion.
