Buy a Dental Practice in Kentucky

To buy a dental practice in Kentucky, confirm who will control clinical care, how the buyer will get paid, and what the purchase actually includes. A receivable balance is not cash available at closing. Compare the practice with its own patients and costs, then use regional evidence to challenge assumptions about staffing, fees and growth.

Key takeaways

  • Review Kentucky’s current clinical-control rule before choosing an ownership structure.
  • Keep whole-metro statistics separate from the state governing the office.
  • Price receivables from supported collection assumptions and timing.
  • Confirm payer approval, records access and the right to use the office before closing.

How do you buy a dental practice in Kentucky under current law?

KRS 313.075, effective April 13, 2026, allows operation through a person or entity licensed by the dental board or employing board-licensed individuals. It also reserves clinical decisions to licensed dentists. An unlicensed person cannot control diagnosis, treatment planning, patient records, supervision of licensed personnel or professional judgment. A licensed dentist has final authority and responsibility for clinical patient care. Source: KRS 313.075.

The statute also bars direct or indirect control of clinical operations by an entity that sets dental reimbursement rates. It addresses interests and contracts lawfully existing on its effective date, including future expansion or modification. Do not assume that every new acquisition inherits protection for an older arrangement. Have Kentucky counsel review the actual owners, agreements and decision rights.

Who may own shares is another question. Kentucky’s professional service corporation statutes govern that entity route, including permitted shareholders. They are not a general approval for every company form or management agreement. Formation: KRS 274.015; shares: KRS 274.017. Put clinical authority, banking access, staffing administration and records access into separate columns when reviewing the proposed structure.

Which Kentucky market fits your acquisition plan?

Start with travel, service mix and the patients the office already serves. A regional label cannot tell you whether patients will follow a replacement dentist or accept different hours. Compare recall visits and cancellations by location using suitable aggregate reports. Then test the schedule against your clinical skills and available team.

Kentucky had 1,440 employer dental establishments in 2023. This Census count is not a count of dentists, listings or independent owners. Source: Census CBP. Statewide 2024 household income was $64,526 ±$1,165, with a 90% margin of error. Household income is not the income of the practice’s patients. Source: Census ACS.

The following are whole metros. Population is July 2025; income is the 2024 ACS one-year estimate in 2024 dollars. The figures describe different measures and years, not a single current demand score.

How should you test the price of purchased receivables?

Ask whether the seller keeps the receivables or sells a defined group of balances. If they are included, obtain an aging report that ties to the ledger at an agreed cutoff. Separate insurance claims, patient balances, disputed charges and credits. A billed charge that should have been adjusted under a payer contract is not fully collectible revenue.

This invented example starts with $110,000 of positive balances after assumed contractual adjustments. It excludes patient credits and future treatment. The collection percentages are planning assumptions, not Kentucky benchmarks. Validate any real assumptions using comparable closed periods, payment history and claim status.

Age at cutoffBalance offeredAssumed eventual collectionModeled receipts
Up to 30 days$50,00090%$45,000
31–60 days$30,00070%$21,000
61–90 days$20,00040%$8,000
Over 90 days$10,00010%$1,000
Total$110,000—$75,000

Suppose the agreed receivable price is $65,000 and added collection cost is $5,000. Modeled receipts of $75,000, less those two outflows, leave $5,000 before financing and tax. That is a cash comparison for this invented receivable purchase, not practice profit or an accounting recognition rule.

Now reduce each collection assumption by 10 percentage points: the rates become 80%, 60%, 30% and 0%. Receipts fall to $64,000. At the same price and cost, the result is negative $6,000. A ten-point reduction is different from multiplying each original rate by 90%. The example shows how a modest change in several assumptions can erase a narrow cushion.

Collection timing matters too. Even if the base case is achieved, the full amount is not available on the first day. Agree who submits old claims, pursues denials, accepts refunds and remits money received in the wrong bank account. Use the receivables guide to define ownership and reconciliation duties before treating balances as part of the funding plan.

What happens to Kentucky Medicaid participation after ownership changes?

Do not assume you can bill under the seller’s participation by changing a password. 907 KAR 1:671 treats a substantial change of ownership or control as a termination requiring a new application, subject to the rule’s provisions, including its patient-access consideration. Its examples include specified transfers, mergers and asset or control changes. The actual structure matters. Source: Kentucky provider conditions.

The sale or ownership-change contract must state whether the buyer or seller owes amounts due to the department. This includes amounts not yet identified at the sale. Ask counsel to address that allocation explicitly. A private allocation should not be assumed to settle every payer’s rights against the parties.

Build a payer schedule with the buyer entity, treating clinicians, address, application route and written effective date. Check fee-for-service and each managed-care arrangement separately. An application receipt does not establish payment eligibility. See credentialing after purchase and allow for cash timing in the working-capital plan.

Which staffing and access figures help with diligence?

BLS May 2025 Kentucky employee hourly medians were $37.90 for dental hygienists and $22.95 for dental assistants. These exclude self-employed owners and do not include all employer costs. Source: BLS. Test the actual roster, hours, benefits and coverage needs before applying any broad wage figure to a purchase model.

HRSA’s September 5, 2026 snapshot identifies 257 designated and 6 proposed-for-withdrawal dental shortage records assigned primarily to Kentucky. These are designation counts, not people, dentists or available customers. Source: HRSA. A shortage designation cannot establish that the office can hire staff or collect enough revenue to support debt.

The University of Kentucky and University of Louisville offer dental degree programs. UPIKE reported its inaugural dental class’s white coat ceremony in August 2026. UK, Louisville, UPIKE. Students are not a verified pool of graduates ready to buy or staff your office. Evaluate actual candidates and start dates.

What must the records and premises handoff cover?

Identify who will hold records, answer requests, fund storage and preserve access after the seller leaves. The current 201 KAR 8:540 PDF took effect August 18, 2026. Its records provisions include retention and access duties within the rule’s stated scope. A software export alone does not prove those duties have been met. Source: current records rule.

The rule incorporates KRS 422.317, which provides a copy without charge on a patient’s written request. Check the access process against federal and payer duties too. A fee listed in state law is not proof that every later charge is allowed. Source: record copies. Arrange lawful custody and access without putting identifiable charts into a general marketing folder.

For the premises, confirm lease assignment or purchase rights, permitted use, equipment ownership and any approvals needed for the planned work. Kentucky’s real-estate brokerage definition includes leasehold interests. Check who will handle that work and which licenses the role requires. Source: KRS 324.010. A practice listing does not itself grant a right to occupy the building.

How do you turn the findings into a purchase decision?

Keep a short open-issue schedule with an owner, supporting document and decision for each issue. Some issues change the price. Others must be resolved before you can treat patients or bill for care. Update the lender when the purchase assets, cash requirements or timing change. Use the financing options guide to prepare the discussion rather than assume approval.

Compare the base case with a case that has slower collections, additional staffing expense and less seller support. An attractive asking price does not solve a records gap or missing approval. Decide which issues need a revised agreement, more evidence or a later closing before you commit to the operating plan.

For a search around Louisville and Southern Indiana, the Louisville buyer guide tests the cost of added office hours. It also distinguishes general office rent from medical-space terms and keeps state and city requirements separate.

Frequently asked questions

Can a nondentist own a Kentucky dental practice?

Do not answer from an older blanket rule. Current KRS 313.075 addresses licensed operators or entities employing licensed individuals while reserving clinical authority to licensed dentists. Entity eligibility and the actual ownership and management contracts need separate Kentucky review.

Are Louisville and Cincinnati figures Kentucky-only?

No. The whole Louisville metro includes Indiana, and Cincinnati includes Ohio and Indiana as well as Kentucky. Use the actual premises address for state requirements and the defined geography for each statistic.

Should I pay face value for dental receivables?

Face value alone cannot support the price. Review adjustments, disputes, age, payment history, collection cost and timing. Establish which balances and collection rights transfer, and test a downside case before agreeing to a price.

Does buying the practice preserve Medicaid enrollment?

Do not assume continuity. The provider rule addresses substantial ownership or control changes and a new application. Confirm the transaction route, clinicians, location and written effective dates with the applicable payer arrangements.

Can records be handled after the financial closing?

Records access is part of transition readiness. Identify custody, retention, patient requests, system access and costs before the seller leaves. Account for the current Kentucky rule and other applicable duties.
