Key takeaways
- Confirm the office state and payer route before assuming that revenue will continue.
- Separate late but collectible receipts from amounts that will not be paid.
- Use local income and wage data as context for practice-specific records.
- Resolve premises approvals and fund the opening period before setting the closing date.
Where should you buy a dental practice in Memphis?
Start with the work you can provide and the team needed to deliver it. Request aggregate patient origins, visits by clinician and collections by payer. Compare the current schedule with your planned hours. A nearby practice may still depend on a provider, contract or service you will not retain.
The Memphis, TN-MS-AR metro covers nine counties. Its July 2025 population was 1,341,412, down 4,217 from 1,345,629 in July 2024 within the same Census vintage. This includes parts of Tennessee, Mississippi and Arkansas. It is not the population around one dental office. Source: Census metro estimates.
Check the office address before applying state ownership or licensing rules. A Tennessee practice can serve people who live across a border without becoming a Mississippi or Arkansas practice. That does not establish its eligibility to bill another state's program. Review the actual arrangement and written payer response.
What do nine Memphis-area places tell a buyer?
These 2020–2024 ACS five-year household income medians use 2024 dollars and 90% margins of error. They describe whole Census places, including Collierville town. They are not ZIP-code income, patient budgets or a ranking of dental demand.
| Census place | Household income and 90% margin | Buyer review question |
|---|---|---|
| Memphis, TN | $51,736 ±$1,072 | Which existing patient trips would your opening hours retain? |
| Bartlett, TN | $102,070 ±$5,744 | Do collections support the service mix you intend to offer? |
| Germantown, TN | $149,920 ±$8,036 | Does the actual payer report support a private-pay assumption? |
| Collierville town, TN | $138,598 ±$6,408 | Which town rules govern the office and proposed fit-out? |
| Southaven, MS | $78,483 ±$3,946 | Is this a Mississippi office or a Tennessee office serving Mississippi residents? |
| Olive Branch, MS | $100,606 ±$8,563 | Which contracts cover the clinicians and actual service location? |
| Hernando, MS | $76,950 ±$10,609 | Can the current team cover the hours in your funding plan? |
| West Memphis, AR | $42,674 ±$6,475 | Are reported FFS receipts Arkansas Medicaid or private cash? |
| Marion, AR | $78,330 ±$8,724 | Which enrollment and premises approvals remain open? |
Income: Census ACS; population files: Tennessee, Mississippi and Arkansas.
The income data use January 2024 boundaries; population uses January 2025 boundaries. A place's footprint may change between those dates. ACS boundary guidance; population file layout.
For each shortlist office, compare this context with actual collections and repeat visits. Germantown's higher household estimate does not prove that the practice has a private-pay patient base. The wide margin around some smaller places also limits close comparisons. Patient retention and the buyer's service plan carry more weight than an income label alone.
Which payer routes can change across the metro?
Build a schedule with the legal entity, tax ID, billing and treating providers, service address, payer and approved dates. Keep patient residence in a separate field. Use current documents for each program; a seller's old provider number is not enough.
| Program context | Evidence to obtain | Assumption to avoid |
|---|---|---|
| Tennessee TennCare dental | Current enrollment and dental benefits-manager participation for the proposed arrangement | Treating an ownership report as every needed approval |
| Mississippi Medicaid dental | MESA application, required supporting records and the applicable ownership process | Calling a purchase a TIN-only update when ownership changes |
| Arkansas Medicaid dental | Current enrollment and direct Medicaid billing requirements | Calling government fee-for-service receipts private cash-pay revenue |
TennCare publishes its current dental benefits-manager route. Mississippi's August 2026 dental rule points dentists to the general provider requirements. The general rules, chapter 4 distinguish ownership changes from a TIN-only process that attests there was no ownership change. Out-of-state enrollment has conditions; crossing the river or state line does not itself qualify a provider.
Arkansas returned dental services to Medicaid fee-for-service on November 1, 2024. Its current beneficiary guidance routes claims to Medicaid. That use of FFS differs from an office's shorthand for uninsured cash payments. The fee-schedule guidance also states that a listed code or amount does not guarantee coverage or payment. Confirm services, dates and approvals before building a collections forecast.
How do late receipts differ from lost revenue?
This invented first-quarter example starts with $50,000 cash, a chosen $20,000 minimum balance, $180,000 expected receipts and $195,000 planned outflows. Costs stay fixed across the cases. These are planning assumptions, not observed practice results or lender requirements.
| Quarter cash item | All receipts timely | $36,000 eligible but late | $27,000 late and $9,000 not payable |
|---|---|---|---|
| Opening cash | $50,000 | $50,000 | $50,000 |
| Receipts within quarter | $180,000 | $144,000 | $144,000 |
| Outflows within quarter | $195,000 | $195,000 | $195,000 |
| Ending cash before added funding | $35,000 | -$1,000 | -$1,000 |
| Added funding to reach $20,000 floor | $0 | $21,000 | $21,000 |
| Receipts expected later | $0 | $36,000 | $27,000 |
| Permanent receipt shortfall | $0 | $0 | $9,000 |
Both disrupted cases need $21,000 to reach the chosen floor at quarter end. They have different recovery paths. In the mixed case, only $27,000 is expected later; $9,000 will not be recovered under the assumed confirmed facts. Extra cash can bridge timing, but it cannot make an unpayable claim payable.
Use expected collectible receipts, not gross charges. Ask what supports the later-payment assumption and record any deadline to correct a claim. A pending application is not proof of retroactive payment. This example does not authorize billing through the seller or treating patients without required permissions.
Then build a weekly cash schedule. Quarterly totals can hide an earlier cash low when payroll and deposits precede receipts. Add debt, equipment, taxes and owner pay if they are not already in outflows. Show a funding source and repayment plan separately; borrowed cash is not practice revenue. If lost receipts recur, reassess the business plan rather than repeat a temporary funding fix.
What belongs in the local staffing and premises budget?
May 2025 BLS employee hourly medians for the whole Memphis metro are $37.78 for dental hygienists and $23.17 for dental assistants. These are historical medians, not current offers or all-in employer costs. Add benefits, payroll costs, leave and coverage for the actual roles. Source: BLS Memphis area table.
The UTHSC College of Dentistry is in Memphis. Its presence does not promise an associate, buyer or referral stream. Obtain a staffing commitment before counting added chair time as available revenue.
A Colliers medical-office advertisement on Poplar Avenue provides a local premises example. Medical-office marketing does not establish dental use, fit-out rights or all-in rent. Obtain a written quote specifying the rent period, expenses, deposits and approved use before putting a cost in your model.
The Memphis/Shelby July 2022 certificate policy treats owner-information changes differently from a business-name-only change. Ask the authority governing the address which current process applies to your transaction. The Develop901 project locator displays records only up to six months after closure. Request older certificates and inspection records directly when needed; an empty map result does not prove a clean permit history.
What should be resolved before a binding handoff?
Assign each open item to a person and a due date. Obtain the lease or premises permission, payer responses, staffing plan and required licenses. Set the conditions for any closing delay and show who pays costs while an item is unresolved. Keep the cash forecast tied to those dates.
Review sensitive practice material through an authorized process. Start with aggregate reports, then request only the details needed for the decision. Patient data and passwords do not belong in a general introduction form. A clear open-item schedule helps your advisers distinguish a solvable timing issue from a condition that changes whether the purchase works.
Frequently asked questions
Does Memphis market data cover only Tennessee?
No. The whole Census metro includes parts of Tennessee, Mississippi and Arkansas. Apply legal and premises requirements to the actual office and provider arrangement, not the regional name.
Does FFS always mean patients pay the practice privately?
No. Arkansas Medicaid uses fee-for-service for its direct program billing. Keep government program receipts separate from uninsured private cash when reviewing a seller’s payer mix.
Can a tax ID change replace ownership review?
Not automatically. Mississippi’s TIN-only process is distinct from its ownership-change process and requires an attestation that ownership has not changed. Confirm the correct route with the program.
Is a payer delay only a working-capital issue?
Only if the receipts are supported and remain collectible. A permanently unpayable amount changes the economics as well as the immediate cash balance. Model timing and lasting loss separately.
Does a medical-office listing prove the premises are suitable?
No. Confirm permitted dental use, fit-out, utilities, access, lease rights and current inspections for the proposed office. Ask for complete written rent terms.
