Sell a Dental Practice in Denver, Colorado

To sell a dental practice in Denver, show buyers the operating business and define any premises funds held after closing. A balance in a restricted account is not always ready to return to the seller. Track paid claims, open disputes and the submission deadline alongside dated local context and a controlled disclosure plan.

Sell a dental practice in Denver with held funds reconciled

A sale proposal may hold some seller cash to cover defined premises claims after closing. Before treating any balance as available, separate claims already paid, claims still disputed and the time left to submit new claims. The question is how much restricted cash can be released, and when, under the terms the parties actually agree.

This is especially useful when an existing office, a new lease proposal and a buyer's preferred changes appear in the same discussion. Keep each document separate. Your current lease establishes one set of obligations; a proposed support clause may create another. The Colorado seller guide covers state-specific transition questions. This page focuses on a Denver sale package and a dated release ledger for restricted premises funds.

Describe the actual Denver geography

Use Denver-Aurora-Centennial, Colorado, CBSA 19740, when citing the official metro. Census Vintage 2025 estimates put its population at 3,092,037 on July 1, 2025, compared with 3,081,092 in 2024. The increase within that series is 10,945, or about 0.36%. It is regional context, not evidence of growth in your patient list. Census metro population data.

The counties are Adams, Arapahoe, Broomfield, Clear Creek, Denver, Douglas, Elbert, Gilpin, Jefferson and Park. Do not borrow population from Boulder or Weld while keeping this metro label. Equally, do not label the whole metro's population as Denver city. A precise geography is more useful to a buyer than a larger but mismatched number.

At the private review stage, explain where your patients actually come from using an appropriately controlled report. Distinguish recent visits from old addresses on file. If the practice draws from a smaller area than the metro, say so. The regional table should remain background to the practice's own evidence.

Present income estimates with their limits

These are whole-place median household income estimates from the 2020–2024 ACS five-year release, in 2024 dollars. Their margins of error use the ACS 90% confidence level. They do not estimate the income of your patients or the amount they will spend on dentistry. Census income data, ACS accuracy guidance.

Whole placeMedian household incomeMargin of error
Denver city$94,718±$1,644
Aurora city$88,368±$2,017
Lone Tree city$123,741±$17,393

Keep the vintage beside the table when it moves into a presentation. A fresh sale memorandum does not make its underlying survey a current-year survey. If a buyer asks about collections, answer with matched practice periods, adjustments and payment sources. Do not use a city income difference to justify an unsupported fee increase in the forecast.

Put payroll evidence ahead of a recruiting story

The May 2025 BLS hourly median wage is $54.69 for dental hygienists and $23.79 for dental assistants in this metro. These are employee wage estimates, not total employer costs or available candidates; self-employed workers are outside the OEWS measure. BLS Denver data, BLS methods.

CU Anschutz's dental school in Aurora lists degree and residency programs. It is a local education resource, not proof of a ready replacement for your role. CU Anschutz dental school.

Show buyers the work now performed by each role without promising that employees will stay. Explain planned introductions only when the parties have agreed on timing. If a buyer proposes changing hours or benefits, keep that proposal visible instead of silently presenting it as the current cost base.

Keep the premises advertisement in its proper place

A John Propp brochure for a Lone Tree suite describes a six-month base-rent concession followed by a higher rate. It was reviewed September 19, 2026 and is documentary context only: current vacancy, current terms and dental readiness are unverified. Lone Tree premises brochure.

For your own sale, provide the governing lease and any written proposal the buyer is using. A quoted promotion elsewhere does not establish what your landlord will accept. If a buyer asks you to bridge an occupancy cost, identify exactly which cost. Avoid an open promise to cover whatever later appears on an invoice.

Prepare a simple schedule of responsibilities. Record who receives the landlord invoice, who verifies the eligible amount, when reimbursement is due and what happens when the limit is reached. Have the transaction advisers resolve the actual drafting and consent requirements. The cash model below uses an invented promise to illustrate the release conditions; it does not establish any legal duty.

Worked example: a balance is not yet a release

All terms here are invented, not standard Denver sale terms or legal requirements. Assume the seller places $36,000 in a separate restricted account at closing. It can pay only agreed premises claims incurred during a six-month support period. The parties also agree to a thirty-day claim-submission window after that period. No money is released to the seller before that window ends.

For this model, approved claims are paid as they are approved. Disputed claims remain fully reserved until resolved. At the submission deadline, any balance beyond the unresolved claims may return to the seller. Assume no fees, interest, tax, other claims or duties beyond the funded cap. These are supplied account rules; actual instructions must address eligibility, evidence, authority and disputes expressly.

CheckpointAccount balance before a seller releaseUnresolved claimsSeller release at that checkpoint
Initial funding$36,000$0$0
End of six-month support period$14,000$8,000$0
End of thirty-day submission window, no new claims$14,000$8,000$6,000
Final resolution: $5,000 of disputed claims allowed and paid$3,000$0$3,000

Assume approved monthly payments of $4,000, $5,000, $3,000, $4,500, $3,500 and $2,000. They total $22,000, leaving $14,000 in the account. Another $8,000 of submitted claims is disputed. The support period has ended, but the claim-submission window is still open. Under the supplied rule, none of the $14,000 is yet released.

At the deadline, assume no new claims arrived. The account can release $14,000 minus $8,000, or $6,000. When the dispute later resolves for $5,000, that amount is paid and the final $3,000 returns to the seller. Total payments are $27,000 and total returns are $9,000, reconciling to the original $36,000. Funding the account and paying a claim from it are not two separate losses.

Test late claims and the disputed amount separately

First, add a valid $4,000 claim submitted during the thirty-day window and paid before it ends. Keep the $8,000 dispute and its later $5,000 resolution unchanged. The balance at the deadline becomes $10,000, so only $2,000 can be released then. The final release remains $3,000. Total returns fall to $5,000 and claims paid rise to $31,000.

Second, return to the base case with no late claim and allow the full $8,000 disputed amount. The deadline release remains $6,000, but there is no final return after the dispute payment. Claims paid total $30,000 and returned funds total $6,000. These are independent branches, not combined changes or estimates of dispute outcomes.

The ledger identifies the evidence required for an initial release: a closed submission window, a current claim register, approvals, payments and enough retained funds for unresolved claims. Releasing the final reserved balance also requires resolution of those claims. A landlord's or buyer's request is not automatically an eligible claim. Have the advisers reconcile the actual agreement and account instructions. Do not use this example to assume that a real account permits partial releases or limits liability to the amount funded.

Protect identity while the terms take shape

Begin buyer outreach with a seller-blind description. Omit the owner and practice names, exact address, staff details and combinations of facts that would reveal the office. Require a signed NDA and permission through the agreed process before disclosing identity or identifiable financial and premises records. Agree separately on when staff will be told and who will lead that discussion; an interested buyer does not set that date by requesting a tour.

This matters in a local premises discussion. An unredacted floor plan, landlord email or exterior photo may reveal the practice before a name appears. Check those attachments before release. After identity is authorized, use a controlled version of the premises schedule so a new draft does not circulate as though it were agreed.

Common mistakes when tracking Denver sale funds

Do not call the entire account balance available cash while claims remain open. Do not deduct the funding deposit and its later claim payments as separate costs. Do not erase a disputed claim merely because it has not been approved. These mistakes can make a clean spreadsheet answer the wrong question.

A sale to an individual dentist and a DSO proposal can allocate duties differently. List the duties explicitly instead of assuming a buyer category tells you who pays. Read the Denver buyer guide to understand the buyer's separate concession comparison, and use the main seller guide for the broader sale sequence.

Summary

A Denver sale package should make restricted premises funds and their release conditions clear. Keep local statistics dated, label the premises evidence and distinguish current costs from proposed changes. Reconcile each payment, unresolved claim and returned balance without counting the funding twice. Bring the draft terms and release ledger to a confidential planning call.

Frequently asked questions

Does a regional population increase prove my practice grew?

No. Metro population is background. Support the sale with the practice’s own dated visit, collections and staffing records rather than assigning it a share of regional growth.

Why is the $14,000 balance not released at six months?

The invented agreement leaves another thirty days to submit claims and permits no release before that window closes. That waiting period is a supplied model rule, not a Colorado legal requirement.

How much returns in the base case?

The seller receives $6,000 after the submission deadline and $3,000 after the dispute resolves. Total returns of $9,000 plus $27,000 of claims paid equal the original $36,000 funding.

What does the late-claim sensitivity change?

An additional eligible $4,000 claim lowers the deadline release to $2,000. The final release remains $3,000, so total returns become $5,000. The original dispute resolution is otherwise unchanged.

What if the whole disputed amount is allowed?

In the separate no-late-claim branch, paying all $8,000 leaves no final return. The earlier $6,000 release is the total returned; claims paid total $30,000.

Is funding the account another expense after paying claims?

Do not count both as separate losses in this ledger. Funding restricts $36,000 initially. Its later uses and returns explain where that same money went.

Can a buyer contact staff about premises records immediately?

Arrange access and staff involvement through the agreed sale process. Identify who needs to help, what they need to know and when the wider team will be briefed rather than letting a document request set the announcement date.

Does the example establish how an actual escrow works?

No. Eligibility, release authority, disputes, deadlines and liability must follow the actual written arrangements. The example only demonstrates a ledger under expressly supplied rules.
